Members of the management boards of companies are often liable for the company's obligations when its assets are not sufficient to cover these obligations. Such liability is provided for in Article 299 of the Commercial Companies Code. As calculated by the consulting and auditing firm Grant Thornton (GT), in the years 2018–2024 alone, courts issued 188 judgments on this basis sentencing members of the management boards to penalties totaling PLN 71 million. The highest penalty awarded was PLN 21.3 million. However, as GT points out, the scale of the phenomenon is actually greater, because not all judgments are published.
